3. Intellectual Property

All content on this website — including text, graphics, logos, and code — is the property of InnoLift Ventures and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written consent.

For client projects, intellectual property ownership is defined in the individual project agreement. Generally, upon full payment, clients receive ownership of the final deliverables, while InnoLift Ventures retains ownership of proprietary tools, frameworks, and methodologies used during development.

4. Client Responsibilities

Clients engaging InnoLift Ventures for services agree to:

• Provide accurate, complete, and timely information required for project delivery • Review and provide feedback within agreed timeframes • Ensure they have rights to any materials, content, or data provided to us • Make payments in accordance with agreed schedules • Not use our services for any unlawful, harmful, or unethical purpose

5. Payment Terms

Payment terms are specified in individual project agreements. General terms apply:

• Invoices are due within the period specified in the project agreement • Late payments may incur interest charges • InnoLift Ventures reserves the right to pause work on projects with overdue invoices • All fees are exclusive of applicable taxes unless otherwise stated • Refund policies are defined per project and outlined in the respective agreement

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of a project engagement. InnoLift Ventures will not disclose client information to third parties without consent, except as required by law or as necessary to deliver the agreed services (e.g., using a cloud hosting provider).

We are willing to sign Non-Disclosure Agreements (NDAs) upon request prior to project discussions.

7. Limitation of Liability

To the maximum extent permitted by law, InnoLift Ventures shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services or website, including but not limited to loss of revenue, data, or business opportunities.

Our total liability to any client for any claim arising from a specific project shall not exceed the total fees paid by the client for that project.

8. Warranties and Disclaimers

InnoLift Ventures warrants that services will be performed with reasonable skill and care. We do not guarantee specific business outcomes, search engine rankings, or app store performance resulting from our services.

This website is provided "as is" without warranties of any kind. We do not warrant that the website will be uninterrupted, error-free, or free of harmful components.

9. Termination

Either party may terminate a project engagement as specified in the individual project agreement. In the event of termination:

• The client shall pay for all work completed up to the termination date • InnoLift Ventures will deliver all completed work and relevant files • Confidentiality obligations survive termination

InnoLift Ventures reserves the right to terminate website access for any user who violates these terms.

10. Governing Law

These Terms of Service are governed by and construed in accordance with applicable laws. Any disputes arising from these terms or our services shall be resolved through good-faith negotiation first, and if unresolved, through binding arbitration or the courts of the applicable jurisdiction as specified in the individual project agreement.

11. Changes to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be posted on this page with an updated date. Continued use of our website or services after changes constitutes your acceptance of the revised terms.
